These terms constitute a binding agreement governing your access to and use of Actaa Network, the public professional lane provided by Nomisma LLC.
Actaa Network (the “Network”) is provided by Nomisma LLC, a Wyoming limited liability company and AI venture studio (“Nomisma,” “Actaa,” “we,” “us,” or “our”). These Actaa Network Terms (the “Terms”) govern your access to and use of the Network. By creating a profile, applying to or posting a role, publishing a showcase, submitting a review, or otherwise using the Network, you (“you” or “Member”) agree to be bound by these Terms. Where you also use Actaa within a company workspace, the separate Platform Terms of Service additionally govern that use.
Documents that form part of these Terms. The Acceptable Use Policy and the Network Community Guidelines are incorporated into, and form part of, these Terms; by agreeing to these Terms you agree to both. How Nomisma handles your personal data is described in the Platform Privacy Policy, and its use of cookies and similar technologies in the Cookie Policy.
01 The Actaa Network Service
Actaa Network is the public professional lane of Actaa. It comprises the following features:
- Verified professional profiles, being a professional identity that you own and control.
- A public jobs marketplace, in which employers post roles and candidates apply.
- Work showcases, in which you present work that you have the right to display publicly.
- Two-sided verified reviews, in which Members and companies review one another on the basis of genuine first-hand experience.
The Network is distinct from the private Actaa workspace, being the company operating system that an organization and its members use behind an authenticated login. Data held within a private company workspace is isolated and is not published to the Network. Content appears on the Network only where a Member has elected to make it public.
02 Eligibility and Accounts
To access the Network, you must be capable of forming a legally binding contract. You must be at least 18 years of age, or of legal majority in your jurisdiction if that age is higher. The Network is not directed to, and may not be used by, children under the age of 16. Where Nomisma becomes aware that an account has been created by a person under the applicable minimum age, it will close the account and delete the associated personal data.
You are responsible for the accuracy of the information provided upon registration and for all activity occurring under your account. You represent and warrant that:
- a personal profile represents a single, real individual, and any company or employer account is operated by a duly authorized representative of that organization;
- you will safeguard your account credentials. Actaa provides account-security features, including time-based one-time-password (TOTP) multi-factor authentication and step-up re-authentication for sensitive actions, which Actaa recommends that you enable; and
- you will keep your profile and any organization details accurate and current.
03 User Content and Showcases
Ownership. You retain all rights that you hold in the profiles, showcases, posts, reviews, images, documents, and other materials that you submit to the Network (“User Content”). These Terms do not transfer ownership of User Content to Actaa.
License. In order to operate the Network, you grant Nomisma LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt for display, publish, and distribute User Content, solely for the purpose of operating, providing, securing, and promoting those portions of the Network that you have elected to make public. This license subsists only for so long as is necessary to provide the Network and to comply with legal obligations. Upon removal of User Content or closure of your account, Actaa will cease displaying the relevant User Content, although cached or backup copies may persist for a limited period.
Representations. You represent and warrant that you hold all rights necessary to submit User Content and to make it public, and you are responsible for the content that you elect to make public. You shall not post confidential material, or material owned by a client or employer, without authorization to publish it. Where User Content depicts other individuals, you represent that you are permitted to publish it.
04 Authenticity and Verification
The integrity of the Network depends upon the authenticity of its content. Profiles and showcases must be genuine and accurate. The following are prohibited:
- impersonation of any person, company, or brand;
- creation of false or misleading identities;
- fabrication of experience, roles, titles, credentials, or results; and
- presentation of work not performed by you as your own (see Section 08).
Verification. Actaa may apply verification signals to certain profiles, employers, reviews, or showcases to indicate that a particular check has been performed. A verification signal denotes only that the specified check was carried out at the relevant time; it does not constitute an endorsement, accreditation, or guarantee of any person's character, skill, or future conduct. The community standards applicable to the Network are set out in the Network Community Guidelines.
05 Verified Reviews
The Network supports two-sided reviews, whereby Members and workers may review companies, and companies may review individuals with whom they have genuinely worked, as applicable. Each review must reflect genuine first-hand experience. The following are prohibited:
- fake reviews, being reviews of a company or person with which the author has no genuine first-hand experience;
- incentivized reviews, being reviews written, amended, or removed in exchange for payment, discounts, rewards, or any other consideration;
- retaliatory reviews, being reviews submitted principally to punish, threaten, or coerce rather than to describe an honest experience;
- conflict-of-interest reviews, being reviews of your own company or yourself, or of any party you cannot assess impartially, without disclosure of the relevant relationship; and
- coordinated manipulation, being the use of groups, automated accounts, or duplicate accounts to inflate, suppress, or distort ratings.
06 Jobs Marketplace
Within the jobs marketplace, employers post roles and candidates apply. Employers are responsible for the accuracy and legality of their listings and for their own hiring decisions and equal-opportunity obligations. Candidates are responsible for the accuracy of the information that they submit.
Assist-only artificial intelligence. Any artificial-intelligence feature offered within the marketplace is designed so that it assists persons and does not autonomously make or rank employment decisions. It does not produce a score, ranking, or rating of candidates that determines an outcome. This approach is designed to align with automated-employment-decision and anti-bias laws, including NYC Local Law 144, the California Fair Employment and Housing Act (FEHA), Illinois HB 3773, and the Colorado AI Act. Employers remain responsible for their own compliance; Actaa provides tools and does not provide legal advice.
AI privacy. Where the Network uses artificial intelligence — for example, to assist in drafting a job description or summarizing an application — those features run on AWS Bedrock inside Actaa's own cloud environment, which does not use your prompts or content to train its foundation models.
No outcome guarantee. Actaa does not guarantee that any listing will be filled, that any application will result in an interview or offer, or the conduct of any employer or candidate.
07 Professional Conduct
The Network is a professional community, and each Member is required to conduct itself professionally and respectfully. Harassment, discrimination, hateful content, threats, spam, and deceptive conduct are prohibited. The standards of conduct expected on the Network are set out in the Network Community Guidelines, which form part of these Terms.
08 Intellectual Property and the Document IP Ledger
Actaa's rights. The Actaa and Nomisma names, logos, software, and the design of the Network are owned by Nomisma LLC or its licensors and are protected by intellectual-property law. These Terms grant you no rights in them save to use the Network as intended.
User Content and the Document IP Ledger. Actaa may record showcased documents in the Document IP Ledger, being a hash-chained, tamper-evident record that a document existed in a particular form at a particular time. The Document IP Ledger further supports cross-organization copy detection, which may alert the originating author where a close copy appears within another organization on Actaa.
Respect for third-party rights. You shall not post work that you are not entitled to post, and you shall not present the work of others as your own. If you believe that content on the Network infringes your intellectual-property rights, you may contact Actaa as set out in Section 11.
09 Privacy
The Network distinguishes between content that is public by your election and content that remains private. The profile fields, showcases, posts, and reviews that you publish are visible to others. Your private company workspace, and the data contained within it, is not published to the Network.
The handling of personal data, including your rights of access, portability, and erasure, is governed by the Platform Privacy Policy. That policy describes Actaa's data practices, including one-click data export and portability, erasure subject to a 30-day recovery window, and the AWS infrastructure on which data is processed. In the event of any conflict between this Section and that policy in respect of a privacy matter, the privacy policy governs.
You shall not publish the personal, contact, or sensitive information of any other person without that person's consent.
10 Prohibited Conduct
You shall not:
- impersonate any person, or misrepresent your identity, experience, role, or work;
- submit fake, incentivized, retaliatory, or conflict-of-interest reviews, or otherwise manipulate ratings;
- harass, threaten, defame, or discriminate against any person, or post hateful content;
- post unlawful content, or use the Network for any unlawful purpose;
- infringe the intellectual-property rights of any person, or present the work of others as your own;
- post confidential information, or the private or personal data of any other person, without authorization;
- post spam, perpetrate scams, or create false or misleading job listings;
- scrape, harvest, or employ automated means to collect data from the Network or to manipulate it;
- probe, reverse-engineer, or circumvent the security of the Network, or introduce malicious code; or
- use any artificial-intelligence output from the Network to make an automated employment decision in a manner that the assist-only design is intended to prevent.
11 Reporting, Takedowns, and Disputes
Reporting of violations. Where you become aware of content or conduct that violates these Terms or the guidelines, you may report it through in-product reporting where available, or by email to info@actaa.ai. Actaa reviews reports and may contextualize, restrict, or remove content, or limit accounts, in accordance with these Terms.
Intellectual-property takedowns. If you believe that content infringes your intellectual-property rights, you may email info@actaa.ai with sufficient detail to identify the content, the rights concerned, and your contact information. Actaa reviews valid complaints and may remove or disable access to the content.
Review disputes. A company or person that is the subject of a review may refer it to Actaa where it is believed to violate these Terms or the guidelines. Actaa assesses referred reviews against its rules; Actaa does not remove a review merely because its subject disagrees with it.
Disputes between Members. Employment relationships, engagements, and disputes between employers, candidates, and reviewers are matters between those parties. Actaa is not a party to them and, while Actaa may act upon violations of its rules, Actaa is under no obligation to mediate or resolve disputes between Members.
12 Suspension and Termination
Actaa may suspend, limit, or terminate your access to the Network where you violate these Terms or the guidelines, where required by law, or in order to protect the Network, its users, or Nomisma LLC. Where reasonable and appropriate, Actaa will endeavor to provide notice and, in the case of less serious matters, an opportunity to remedy the matter.
You may cease using the Network and close your account at any time. Upon closure of an account or removal of content, public content is withdrawn, and personal data is handled in accordance with the Platform Privacy Policy, including anonymized deletion subject to a 30-day recovery window. Certain records may be retained where Actaa is legally required to retain them, or requires them to resolve disputes or enforce these Terms. Retention periods beyond the deletion recovery window are as follows: residual copies in routine backups cycle out within thirty-five (35) days of deletion, and any records retained for legal or dispute-resolution purposes are kept only for as long as necessary for those purposes.
13 Disclaimers and Limitation of Liability
User-generated content. Profiles, showcases, listings, and reviews are created by users. The Network is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Actaa does not warrant that content on the Network is accurate, complete, or reliable, that the Network will be uninterrupted or error-free, or that any listing, application, review, or connection will yield any particular outcome. Actaa is not a party to any employment relationship formed through the Network.
No professional advice. Nothing on the Network constitutes legal, financial, or other professional advice.
Limitation of liability. To the maximum extent permitted by applicable law, Nomisma LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Network. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
14 Governing Law
These Terms, and any dispute arising out of or relating to them or to the Network, are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Subject to any mandatory rights available to you under the law of your place of residence, you and Nomisma LLC submit to the jurisdiction of the state and federal courts located in the State of Wyoming in respect of any dispute not otherwise resolved.
15 Amendments
Actaa may amend these Terms as the Network develops or as required by law. Where Actaa makes material changes, it will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Network after the changes take effect constitutes acceptance of the amended Terms. If you do not agree to the amended Terms, you must cease using the Network and may close your account.
